Lily Terms of Service

Welcome to Lily!
These Terms of Service ("Terms") govern your use of the Lily mobile application, website, and related services (collectively, "Lily" or the "Service"), operated by Lily App, LLC, a Colorado limited liability company ("Lily," "we," "us," or "our").
Lily helps households organize everyday responsibilities, schedules, reminders, errands, and shared activities.
By creating an account or using Lily, you agree to these Terms. Our Privacy Policy explains how we collect, use, and protect personal information.
If you do not agree to these Terms, please do not use Lily.
1. Eligibility
You must be at least 18 years old to create a Lily account.
Lily is intended for adults managing household activities and responsibilities. Adults may create profiles for children within their household, but children cannot independently register for Lily accounts.
By creating an account, you confirm that you meet these eligibility requirements and have the legal authority to enter into these Terms.
2. Accounts and Security
You agree to provide accurate account information and keep your login credentials secure.
You are responsible for activity occurring through your account, except where prohibited by applicable law or resulting from circumstances for which Lily is legally responsible.
If you believe your account has been accessed without authorization, please contact support@lilyapp.ai.
We may suspend or restrict accounts when reasonably necessary to address security threats, fraudulent activity, or violations of these Terms.
3. Households, Administrators, and Shared Access
Lily allows an adult account holder to establish a household and invite other adults to participate.
Household Administrator
The adult who creates a household serves as its administrator. The administrator controls household membership and manages shared household information according to Lily's available features.
Only the administrator may add or remove household members.
Invited Adults
Invited adults may access shared household information, including events, reminders, tasks, errands, and family member profiles, subject to their assigned permissions.
Available actions vary by feature and account permissions. For example, invited adults may be permitted to complete shared tasks or errands without being authorized to edit other household information.
Shared Household Content
Users retain ownership of the content they create, subject to any rights held by other individuals.
By adding content to a shared household, you understand that authorized household members may access and use that information through Lily.
Shared household records generally remain available to the household when an invited adult leaves or is removed, unless those records are deleted by an authorized user.
The household administrator is responsible for managing membership and deciding whom to invite.
Lily is not responsible for disagreements among household members concerning shared information or household administration, except where applicable law provides otherwise.
4. Children's Profiles and Family Information
Adults may add information about children and other family members, including names, birthdays, photos, schedules, and household activities.
By providing another person's information, you represent that you have the appropriate authority or permission to provide and manage that information.
Children's profiles are managed by adults and do not constitute independent Lily accounts.
Authorized adult household members may view children's profiles and related shared information.
Our collection, use, and deletion of this information are described in our Privacy Policy.
5. User Content
You retain ownership of the information you create or upload to Lily, including events, reminders, notes, photos, lists, and other household content ("User Content").
You grant Lily App, LLC a limited, nonexclusive license to host, store, process, display, and transmit User Content solely as reasonably necessary to operate, maintain, secure, and provide the Service.
This permission does not transfer ownership of your content to Lily.
You are responsible for ensuring that your content is lawful and does not violate another person's rights.
Lily does not claim ownership of your personal household information.
6. Subscriptions and Payments
Lily may require a paid subscription to access certain features.
Subscriptions purchased through the Apple App Store are processed and billed by Apple.
Subscription Plans and Pricing
Available subscription plans, prices, billing periods, and any applicable introductory offers are displayed in Lily and during Apple's purchase process.
Prices may vary by country, currency, taxes, and applicable App Store pricing.
Automatic Renewal
Subscriptions automatically renew unless canceled at least 24 hours before the end of the current subscription period, subject to Apple's applicable terms.
Apple charges the payment method associated with your Apple Account.
Cancellation
You may cancel your subscription through your Apple Account subscription settings.
Canceling a subscription generally prevents future renewals. Paid subscription benefits ordinarily remain available until the end of the current paid billing period, subject to Apple's subscription rules.
Deleting your Lily account does not automatically cancel an Apple subscription. You must cancel it separately through Apple.
Refunds
Refund requests for App Store purchases are handled by Apple under its applicable refund policies and consumer protection laws.
You may request a refund through Apple's purchase support process.
Subscription Access
Access to paid features depends on the subscription status associated with the account and the features available under the applicable plan.
Household access to paid functionality is determined by Lily's supported subscription and household-sharing features.
If a subscription expires or is canceled, access to paid functionality may be restricted after the applicable paid period ends. Any continued access to existing household information depends on the features supported by Lily at that time.
We will not charge a separate subscription fee without presenting the applicable purchase terms and obtaining the authorization required by the payment provider.
We may change subscription prices or offerings in the future, subject to applicable notice requirements, Apple's policies, and consumer protection laws.
7. Reminders, Notifications, and Location Features
Lily provides organizational tools, including scheduled reminders, event notifications, travel-time estimates, and location-based features.
These features are intended to assist with planning and organization. They are not guaranteed to operate without interruption or error.
Notification delivery may be affected by device settings, operating system restrictions, internet connectivity, battery conditions, or other technical factors.
Travel-time estimates may be inaccurate due to traffic, road conditions, weather, or other circumstances.
Location-based reminders and Near Me features depend on device permissions, location accuracy, and the availability of supporting services.
You remain responsible for independently managing important appointments, deadlines, travel arrangements, and other time-sensitive obligations.
Lily should not be relied upon as the sole means of receiving critical, emergency, medical, or safety-related notifications.
8. AI-Assisted Bring Suggestions
Lily may offer optional AI-generated suggestions for items to bring to events.
These suggestions are intended for convenience and may be incomplete, inaccurate, or inappropriate for a particular event.
Users may review, modify, remove, or manually enter their own Bring items.
You are responsible for deciding which suggestions are appropriate for your circumstances.
AI-generated suggestions are not professional advice or a guarantee that all necessary items have been identified.
Information submitted for AI suggestions may be processed by third-party providers as described in our Privacy Policy.
9. Acceptable Use
You agree not to misuse Lily or interfere with its operation.
Prohibited activities include unauthorized access to accounts or household information, attempts to bypass security controls, fraudulent use, distribution of malicious software, unlawful activity, and infringement of others' rights.
You may not use Lily to harass, threaten, stalk, or improperly monitor another person.
We may take reasonable action to investigate and address violations, including restricting access or suspending accounts where appropriate.
10. Account Deletion and Termination
You may delete your Lily account through the app's Account Settings.
Invited Adult Account Deletion
When an invited adult deletes their account, their personal account information is removed and their household access ends. Shared household records remain with the household.
Household Administrator Account Deletion
When a household administrator deletes their account, the associated household and its information, including household member profiles and shared records, are deleted.
Removing Household Members
Household administrators may remove invited adults without deleting those adults' independent Lily accounts.
Data Retention
Deletion of information from active systems occurs when the applicable deletion process is completed.
Residual information may remain temporarily in infrastructure backups, as explained in our Privacy Policy.
Suspension or Termination by Lily
We may suspend or terminate access when reasonably necessary to address material violations of these Terms, fraudulent activity, unlawful conduct, or security risks.
Where appropriate and reasonably practicable, we may provide notice and an opportunity to address the issue.
Suspension or termination of a Lily account does not automatically cancel an Apple App Store subscription. Users remain responsible for managing subscriptions through Apple.
Nothing in this section limits refund rights or other protections available under applicable law.
11. Service Availability and Changes
Lily is an evolving service. We may update, improve, modify, or discontinue features as part of maintaining and developing the App.
We may temporarily interrupt availability for maintenance, security updates, technical issues, or circumstances outside our reasonable control.
We will make reasonable efforts to communicate material changes when appropriate.
Changes affecting paid subscriptions remain subject to applicable laws and Apple's subscription requirements.
We do not guarantee uninterrupted or error-free operation.
12. Third-Party Services
Lily integrates with third-party providers to support features such as authentication, maps, weather, payments, and optional AI suggestions.
These services may be subject to their own terms and privacy policies.
Lily does not control every aspect of third-party services and cannot guarantee their uninterrupted availability or accuracy.
You agree to comply with applicable third-party terms when using integrated services.

13. Intellectual Property and App License
Lily's name, branding, design, software, graphics, and other proprietary materials are owned by Lily App, LLC or its licensors, except for User Content and third-party materials.
You may use Lily for its intended personal and household organizational purposes in accordance with these Terms and applicable license agreements.
You may not reproduce, distribute, modify, or commercially exploit Lily's proprietary materials without authorization, except as permitted by applicable law.
Apple Standard End User License Agreement
The Lily iOS application is licensed under Apple's Standard End User License Agreement.
Apple's Standard End User License Agreement governs the software license for the iOS application. These Terms separately govern Lily's accounts, household features, subscriptions, shared information, and related services.
If a provision concerning the iOS software license conflicts with Apple's Standard End User License Agreement, the applicable Apple license terms control.
14. Disclaimer of Warranties
To the maximum extent permitted by applicable law, Lily is provided "as is" and "as available."
We do not warrant that the Service will always be uninterrupted, secure, accurate, or free from errors.
We disclaim warranties to the extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and noninfringement.
Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.
15. Limitation of Liability
To the maximum extent permitted by applicable law, Lily App, LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of or inability to use Lily, including missed appointments, delayed reminders, inaccurate travel estimates, service interruptions, or loss of data.
To the extent permitted by law, Lily App, LLC's aggregate liability arising from the Service will not exceed the greater of:
- The amount you paid for Lily during the 12 months preceding the event giving rise to the claim; or
- $100.
These limitations do not apply where prohibited by law, including liability that cannot legally be limited or excluded.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict-of-law principles, except where applicable consumer protection laws require otherwise.
Before initiating formal legal proceedings, we encourage you to contact hello@lilyapp.ai so we can attempt to resolve the concern informally.
Nothing in these Terms limits your right to pursue remedies available under applicable law.
17. Changes to These Terms
We may update these Terms to reflect changes in Lily's functionality, legal requirements, or business operations.
When we make material changes, we may provide notice through the App, our website, or email as appropriate.
The effective date at the top of this document will indicate when the Terms were last updated.
Your continued use of Lily after updated Terms take effect constitutes acceptance to the extent permitted by applicable law. Where additional consent is required, we will seek it.
18. General Provisions
If any provision of these Terms is found unenforceable, the remaining provisions will remain effective to the extent permitted by law.
Our failure to enforce a provision does not waive our right to enforce it later.
These Terms govern Lily's services and operate alongside Apple's Standard End User License Agreement and any applicable subscription terms.
